End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Sovraine Pte. Ltd. (UEN: 202603000A), a company incorporated in Singapore ("Sovraine"), for the use of Sovraine Guard desktop software and related components (the "Software"). This EULA applies to all tiers of Sovraine Guard (Community and Pro). Sovraine One is subject to a separate enterprise agreement.

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

2. License Grant

Sovraine Guard Community: Sovraine grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a single device for any internal purpose, including professional evaluation, research, personal use, and internal deployment within your organization, at no charge. You may not: (a) offer the Software as a hosted or managed service to third parties; (b) sell, sublicense, or commercially distribute the Software; or (c) use the Software to provide governance-as-a-service or compliance audit services to customers for a fee.

Sovraine Guard Pro: Subject to a valid subscription, Sovraine grants you a license to use the Software in accordance with the terms of your subscription agreement. License keys are tied to your organization and may not be shared or transferred. Each license key permits installation on a number of devices equal to the licensed seat count.

3. Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, decrypt, extract, or otherwise attempt to derive the source code, algorithms, or trade secrets of the Software, including the compiled binary, ONNX model weights, cryptographic routines, and policy evaluation engine
  • Modify, adapt, translate, or create derivative works based on the Software
  • Redistribute, sublicense, rent, lease, or lend the Software to third parties
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Use the Software to develop a competing product or service
  • Circumvent any license key, activation, or tier enforcement mechanisms

4. Local Processing

The Software operates entirely on your local device. All governance evaluation, content scanning, privacy classification, and audit logging are performed locally. No AI tool call content, policy evaluation results, or audit records are transmitted to Sovraine servers unless you explicitly enable cloud features in a paid tier.

5. Audit Trail

The Software maintains a local, hash-chained audit log of governance decisions. This audit trail is stored on your device and remains under your control. You may export or verify audit records at any time through the Software interface. Individual audit records cannot be deleted or modified — this immutability is what makes the audit trail verifiable. On the Community tier, records older than 90 days are automatically purged; each purge is logged so chain integrity remains verifiable. Pro and Enterprise tiers retain records indefinitely. The audit database is a local file on your device and may be removed in its entirety at any time.

6. Intellectual Property

The Software is proprietary and protected by intellectual property laws and international treaties. Sovraine retains all right, title, and interest in and to the Software, including all patents, copyrights, trade secrets, and trademarks. This EULA does not grant you any rights to Sovraine's intellectual property except the limited license in Section 2.

7. Disclaimer of Warranties

The Software is provided "AS IS" without warranty of any kind. Sovraine disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Sovraine does not warrant that the Software will be error-free, uninterrupted, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by Singapore law, Sovraine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising out of or in connection with your use of the Software, even if advised of the possibility of such damages.

9. Third-Party Components

The Software incorporates third-party open-source components distributed under their respective licenses. A list of third-party components, their licenses, and copyright notices is available upon request at legal@sovraine.com. Sovraine's proprietary engine, model weights, policy evaluation logic, and licensing system are not open-source and remain subject to this EULA exclusively.

10. Export Controls

Your use of the Software is subject to the export control and sanctions provisions set out in our Terms of Service (Section 8). You may not use, export, or transfer the Software in violation of applicable export control laws.

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and delete all copies from your devices. Sections 6, 7, 8, 10, and 13 survive termination.

12. Updates

Sovraine may release updates, patches, or new versions of the Software. Such updates may be required to continue using the Software and are subject to this EULA unless accompanied by a separate agreement.

13. Governing Law

This EULA is governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of Singapore.
