Terms of Sale

1. Scope

These Terms of Sale ("Terms") govern the purchase of paid subscriptions to Sovraine Guard Pro and Sovraine One (collectively, the "Paid Services") from Sovraine Pte. Ltd. (UEN: 202603000A), Singapore ("Sovraine", "we", "us").

These Terms supplement and do not replace the Terms of Service and End User License Agreement, which continue to apply.

2. Subscription Tiers

Sovraine offers the following tiers:

  • Sovraine Guard Community (Free) — no purchase required, subject to the EULA
  • Sovraine Guard Pro — annual subscription, per-seat pricing, self-serve via Stripe
  • Sovraine One (Enterprise) — custom pricing, annual contract, sales-led

Current pricing is displayed on our Pricing page. Prices are in US Dollars unless stated otherwise and exclude applicable taxes.

3. Ordering and Payment

Paid subscriptions are purchased through our payment processor, Stripe, Inc. By completing a purchase, you agree to Stripe's terms of service in addition to these Terms.

  • Payment is charged at the beginning of each billing cycle (monthly or annual).
  • All fees are non-refundable except as stated in Section 7.
  • You must provide accurate and complete billing information.
  • Sovraine reserves the right to decline or cancel orders in case of pricing errors or suspected fraud.

4. License Activation

Upon successful payment, a license key is generated and delivered to your registered email address. License keys are cryptographically signed (Ed25519) and tied to your organization. Each key encodes your tier, seat count, and expiry date.

5. Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive a reminder email 7 days before renewal. You may cancel auto-renewal at any time through the Stripe Customer Portal.

6. Upgrades and Downgrades

  • Upgrades take effect immediately. The price difference is prorated for the remaining billing period.
  • Downgrades take effect at the end of the current billing period. No partial refund is issued for the remaining period.
  • Seat changes (adding or removing seats) are prorated at the next billing cycle.

7. Refund Policy

  • 14-day satisfaction guarantee: if you are not satisfied with a Pro subscription, you may request a full refund within 14 days of your initial purchase.
  • Annual subscriptions: refund requests within the first 14 days receive a full refund. After 14 days, the remaining term is credited toward future purchases but is not refunded in cash.
  • Enterprise contracts: refund terms are governed by the individual enterprise agreement.
  • Renewals: you may cancel before the renewal date. Charges for a renewal period that has already started are not refundable.

EU/EEA Consumer Withdrawal Right

If you are a consumer located in the European Union or European Economic Area, you have the right to withdraw from your purchase within 14 calendar days of the transaction date without giving any reason, pursuant to EU Directive 2011/83/EU. To exercise this right, notify us at billing@sovraine.com within 14 days. We will process a full refund within 14 days of receiving your withdrawal notice.

Exception: if you expressly requested that performance begin during the cooling-off period and acknowledged that you will lose the right of withdrawal once your license key has been delivered, the right of withdrawal is lost upon delivery of the license key.

8. Chargebacks

If you initiate a payment dispute or chargeback with your card issuer without first contacting billing@sovraine.com and allowing us 5 business days to resolve your concern, we reserve the right to: (a) immediately revoke your license key; (b) suspend your account; (c) refer the matter to collections. You acknowledge that initiating a fraudulent chargeback after receiving and activating a license key constitutes a breach of this Agreement.

9. Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal or by contacting us. Upon cancellation:

  • Your access to Paid Services continues until the end of the current billing period.
  • Your license key remains valid until its encoded expiry date.
  • After expiry, the software reverts to Community tier functionality.
  • Your data (audit logs, policies, configurations) remains on your local device and is never deleted by us.

10. Taxes

Prices displayed on our website exclude taxes unless stated otherwise. You are responsible for all applicable taxes, including VAT, GST, and sales tax, based on your jurisdiction. Stripe handles tax calculation and collection where required by law.

11. Price Changes

Sovraine reserves the right to modify pricing at any time. Price changes do not affect existing subscriptions until the next renewal period. We will notify you of price changes at least 30 days before they take effect.

12. Service Availability

Sovraine Guard operates locally on your device and does not depend on Sovraine servers for core functionality. License validation is performed locally using cryptographic verification. We do not guarantee uptime for the license generation or Customer Portal services, though we target 99.9% availability.

13. Limitation of Liability

Our total liability for any claim arising from these Terms of Sale shall not exceed the amount paid by you in the 12 months preceding the claim. This limitation applies to the fullest extent permitted by Singapore law.

14. Export Controls

The purchase and use of Paid Services are subject to the export control and sanctions provisions set out in our Terms of Service (Section 8). You represent and warrant that you comply with all applicable export control laws and are not located in a sanctioned jurisdiction.

15. Force Majeure

Neither party shall be liable for delay or failure to perform obligations under these Terms (except payment obligations) to the extent caused by circumstances beyond reasonable control, including acts of God, natural disasters, pandemic, war, government action, or third-party service provider outages.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Dispute resolution follows the provisions in our Terms of Service (Section 12).
