Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the services provided by Sovraine Pte. Ltd. (UEN: 202603000A), a company incorporated in Singapore ("Sovraine", "we", "us", "our").
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
2. Services
Sovraine provides AI governance software, including:
- Sovraine Guard Community — free AI governance engine for personal and internal use.
- Sovraine Guard Pro — paid subscription with break-glass, cross-agent detection, temporal policies, and advanced governance features.
- Sovraine One — enterprise platform with RBAC, SSO, policy OTA, interop connectors, and compliance reporting. Provided under a separate enterprise agreement.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the services for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble Sovraine Guard or Sovraine One
- Use the services to develop a competing product or service
- Use the services, including the free Community tier, to benchmark, profile, or reverse-engineer Sovraine's proprietary technology for competitive purposes
- Train, fine-tune, or prompt-engineer AI models using policy content, governance rules, or evaluation outputs from the Software or Hub without prior written consent
- Attempt to cause the governance engine to generate false compliance attestations or manipulate policy evaluation results
5. Intellectual Property
Sovraine Guard is proprietary software owned exclusively by Sovraine Pte. Ltd. The Community tier grants a limited, non-exclusive, non-transferable license for internal use. The Pro tier is subject to a paid subscription agreement. Sovraine One is subject to a separate enterprise agreement. The community Hub (policies, mappings, verb taxonomy) is provided under CC-BY-SA-4.0. The Sovraine Guard Specification (OGS) is provided under CC-BY-4.0. All Sovraine intellectual property, including Sovraine Guard, Sovraine One, trademarks, patents, and documentation, remains the exclusive property of Sovraine Pte. Ltd. You may not reverse engineer, decompile, modify, or create derivative works of the proprietary software.
6. Subscriptions and Billing
Sovraine offers Sovraine Guard Pro as a paid subscription in addition to the free Community tier. Sovraine One is available under a separate enterprise agreement. The purchase, renewal, cancellation, and refund of paid subscriptions are governed by our Terms of Sale.
By subscribing to a paid tier, you agree to the Terms of Sale in addition to these Terms of Service. In the event of a conflict between these Terms and the Terms of Sale regarding billing matters, the Terms of Sale shall prevail.
7. Software License
Your use of Sovraine Guard software is governed by our End User License Agreement (EULA). These Terms of Service govern your relationship with Sovraine as a service provider; the EULA governs the software license itself.
8. Export Controls and Sanctions
The Software and related technology are subject to export control laws and regulations, including the US Export Administration Regulations (EAR), OFAC sanctions programs, and Singapore's Strategic Goods (Control) Act. You represent and warrant that:
- You are not located in, or a national or resident of, any country subject to comprehensive US or Singapore sanctions or embargoes, including Cuba, Iran, North Korea, Syria, and Belarus
- You are not listed on any US government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals (SDN) list or the Commerce Department Denied Persons List
- You will not use, export, re-export, or transfer the Software in violation of applicable export control laws
- You are not acquiring the Software for any prohibited end use
Sovraine reserves the right to cancel any order, deny activation, and terminate any license where we reasonably believe a violation of this section has occurred or may occur.
9. Indemnification
You agree to indemnify, defend, and hold harmless Sovraine Pte. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your violation of these Terms; (b) your violation of any third party's rights; (c) your use of the Software in a manner not authorized by the EULA; (d) any claim that your data or content infringes the intellectual property rights of a third party.
10. Limitation of Liability
To the fullest extent permitted by Singapore law, Sovraine shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the services. Our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim.
11. Force Majeure
Neither party shall be liable for delay or failure to perform obligations under these Terms (except payment obligations) to the extent caused by circumstances beyond reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, internet or power infrastructure failures, or third-party service provider outages.
12. Dispute Resolution
Before initiating formal proceedings, the parties agree to negotiate in good faith for 30 days following written notice of a dispute. Unresolved disputes shall be referred to arbitration under the SIAC Arbitration Rules in Singapore, with a single arbitrator, in English. The arbitration award shall be final and binding.
For consumers located in the EU/EEA, mandatory consumer protection dispute resolution mechanisms in the consumer's jurisdiction are not affected by this clause.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.
14. Changes
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date.
